Terms of Service

1. Acceptance of Terms

By accessing or using Savena ("Service"), operated by Savena ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Savena is an AI-powered customer support platform that provides live chat, multi-channel messaging, AI agent automation, contact management, and workflow tools for businesses. The Service is provided as software-as-a-service (SaaS) and accessed via savena.ai.

3. Accounts and Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Be at least 16 years of age
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activity that occurs under your account. We are not liable for losses resulting from unauthorized use of your account due to your failure to maintain credential security.

4. Subscriptions and Billing

4.1 Plans and Fees

Savena offers free trial and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis. Current pricing is displayed on our pricing page and may be updated with 30 days' notice.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, you must select a paid plan to continue using the Service or your account will be limited or suspended.

4.3 Payment

Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees. All fees are exclusive of taxes unless stated otherwise.

4.4 Refunds

All fees are non-refundable except where required by law. If you believe you were charged in error, contact us within 30 days of the charge at legal@savena.ai.

4.5 Cancellation

You may cancel your subscription at any time through the billing settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Transmit unsolicited bulk messages (spam)
  • Collect or harvest personal data without proper consent
  • Impersonate another person or entity
  • Upload or transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service in any way that could damage, disable, or impair it
  • Resell or sublicense access to the Service without our written consent

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice.

6. Your Content and Data

6.1 Ownership

You retain ownership of all data you input into the Service ("Your Content"), including conversations, contacts, and training data. You grant us a limited, non-exclusive license to process Your Content solely to provide the Service.

6.2 Responsibility

You are solely responsible for Your Content and for ensuring you have all necessary rights and consents to use it with the Service. You must not upload content that infringes third-party rights or violates applicable law.

6.3 AI-Generated Content

The Service may generate AI-assisted responses on your behalf. You are responsible for reviewing and approving AI-generated content before sending it to your customers. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

7. Intellectual Property

All rights, title, and interest in and to the Service (excluding Your Content), including all software, designs, trademarks, and documentation, are owned by Savena or its licensors. Nothing in these Terms transfers any ownership rights to you.

You may not use our trademarks, logos, or branding without our prior written consent.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.

9. Integrations and Third-Party Services

The Service may integrate with third-party services (Gmail, Microsoft, WhatsApp, Shopify, Stripe, etc.). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. For significant changes that materially affect your use, we will provide reasonable advance notice.

We may update these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. We will notify you of material changes by email or in-app notification.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVENA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

13. Indemnification

You agree to indemnify and hold harmless Savena and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights.

14. Termination

Either party may terminate the relationship under these Terms at any time. We may suspend or terminate your account immediately if you breach these Terms or if required by law.

Upon termination, your right to use the Service ceases immediately. We will retain and delete Your Content in accordance with our Privacy Policy. Sections 7, 11, 12, 13, and 15 survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the European Union and the country in which Savena is established, without regard to conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of our jurisdiction.

16. General

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Savena regarding the Service.
  • Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
